This Telehealth Consent and Limitation of Liability Agreement (the “Agreement”) sets out the terms on which you may access and use the telemedicine and related services made available via the Longevity Direct platform. By accessing or using the platform, you confirm that you have read, understood, and agreed to be legally bound by this Agreement.
1. Contracting Entity
This Agreement is entered into by Longr UK Ltd., a private limited company incorporated in England and Wales with company number 15342464, and registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (“Longevity Direct”, “we”, “us” or “our”).
For the avoidance of doubt, Longr Holdings Inc., a Delaware corporation with registered office at 1007 Orange Street, Wilmington, DE 19801, USA, is not a party to this Agreement.
2. Independent Clinical, Pharmacy, and Laboratory Services
2.1
All references throughout the Longevity Direct platform to “care,” “treatment,” “consultation,” “clinical services,” “prescriptions,” “diagnostic testing,” “providers,” “physicians,” “labs,” or “pharmacies” refer exclusively to services delivered by independent third-party providers, including but not limited to:
Licensed medical providers affiliated with OpenLoop Healthcare Partners PC or other regulated clinical entities (the “Healthcare Provider Entities”);
Strive Compounding Pharmacy (the “Pharmacy Partner”), a licensed and independent compounding pharmacy;
Adept Labs, Inc. dba Junction (the “Laboratory Partner”), a CLIA-certified independent laboratory.
2.2
For clarity, no medical care is delivered by Longevity Direct, Longr UK Ltd., or Longr Holdings Inc., and no doctor–patient, pharmacist–patient, or laboratory-client relationship is formed between you and Longevity Direct or its affiliates.
2.3
Any appearance to the contrary — including but not limited to the use of the terms “we,” “our clinicians,” or “our services” — is solely for ease of communication or user experience and shall not be interpreted as a representation of direct service provision or legal responsibility.
3. Consent to Telehealth and Risk Acknowledgment
By using the services accessible via Longevity Direct, you:
Consent to receive healthcare services via telehealth, including video, audio, messaging, asynchronous communication, and remote data transmission;
Acknowledge that telehealth has limitations, including the lack of physical examination, possible reduced diagnostic accuracy, and technical failures;
Confirm that you are not experiencing a medical emergency. In the event of an emergency, you agree to call 911 or contact local emergency services immediately.
Healthcare Provider Entities may, at their discretion, determine that telehealth is not appropriate and decline to proceed with care.
4. Medications and Compounding
If a prescription is issued, it may be fulfilled by Strive Compounding Pharmacy, or another third-party pharmacy of your choosing.
You acknowledge that:
Compounded medications are not reviewed or approved by the U.S. Food and Drug Administration (FDA);
Risks associated with compounded medications include inconsistent dosage, side effects, or adverse reactions;
Longevity Direct does not prepare, handle, verify, or dispense medications and assumes no liability for pharmacy-related outcomes.
5. Laboratory Testing
If diagnostic testing is ordered:
Samples may be processed by Adept Labs, an independent laboratory provider;
Longevity Direct does not control or verify test accuracy, timing, or results;
You may request that your test be sent to an alternative laboratory, subject to availability.
We accept no liability for testing delays, errors, or result misinterpretation.
6. No Guarantee of Outcome or Prescription
You understand and accept that:
No prescription or treatment is guaranteed;
Healthcare providers make all clinical decisions independently;
Longevity Direct offers no assurance of therapeutic benefit, diagnostic accuracy, or clinical outcome;
AI-generated recommendations, scores, or insights are informational only and not clinical advice.
7. Limitation of Liability
To the fullest extent permitted by law, Longevity Direct, Longr UK Ltd., and Longr Holdings Inc. expressly disclaim all liability for any and all losses, damages, costs, or claims arising out of or in connection with:
Any act or omission of the Healthcare Provider Entities, Pharmacy Partner, or Laboratory Partner;
Use or misuse of platform content, features, insights, or recommendations;
Errors, delays, or failures in telehealth, diagnostic, or pharmacy services;
Technical interruptions or data transmission failures.
In no event shall our total aggregate liability to you exceed the greater of £100 or the total fees paid by you to Longevity Direct in the twelve (12) months preceding the claim.
8. Indemnification
You agree to fully indemnify, defend, and hold harmless Longevity Direct, Longr UK Ltd., Longr Holdings Inc., and their respective officers, directors, employees, agents, affiliates, contractors, and licensors from and against any and all losses, liabilities, claims, damages, penalties, and expenses (including legal fees) arising from or relating to:
Your use of the platform;
Your reliance on any third-party services accessed via the platform;
Your breach of this Agreement or applicable law;
Any dispute, injury, or claim relating to the services provided by third-party clinical, pharmacy, or lab providers.
9. Data Privacy and Communications
You consent to the collection, use, and secure transmission of your personal and health information to:
Healthcare Provider Entities;
Strive Compounding Pharmacy;
Adept Labs.
You acknowledge that:
Email and SMS communications may not be fully secure;
You accept the risks of receiving service-related communications through these channels;
Data will be processed in accordance with our Privacy Policy.
10. Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it (whether contractual or non-contractual) shall be governed by and construed in accordance with the laws of England and Wales.
You and Longevity Direct agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or connected to this Agreement.
11. No Reliance and No Warranty
You agree not to rely on:
Any AI-generated output, data point, insight, or health-related content provided through the platform as a substitute for professional medical judgment;
Any content as a warranty, representation, or guarantee of safety, efficacy, or medical suitability.
All platform content is provided “as is”, without any express or implied warranties, including but not limited to warranties of merchantability, fitness for purpose, or non-infringement.
12. Platform Role and Technology Services
You acknowledge and agree that:
Longevity Direct is a technology platform only and does not control or deliver medical care;
Any scheduling, communication, coordination, or support provided is administrative in nature;
We do not monitor, supervise, or review the services provided by third-party providers.
We shall have no responsibility or liability for any medical decision, prescription, diagnosis, lab result, or medication outcome.
13. Entire Agreement
This Agreement constitutes the entire agreement between you and Longevity Direct and supersedes all prior discussions, agreements, or communications. No oral or written statement outside this Agreement shall be binding unless expressly incorporated herein.
14. Acknowledgment and Acceptance
By clicking “I Agree” or using the platform, you confirm that you:
Have read and understood this Agreement in full;
Consent to telehealth, diagnostic, and pharmacy services via independent third parties;
Acknowledge and accept all disclaimers, risk disclosures, and limitations of liability;
Release and indemnify Longevity Direct, Longr UK Ltd., and Longr Holdings Inc. from all liability to the maximum extent permitted by law.
